1. Acceptance of Terms

By accessing or using Quixyl ("the Service"), operated by Quixyl ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service, whether as a free user or paid subscriber.

2. Description of Service

Quixyl is a Software-as-a-Service (SaaS) platform that provides:

  • Optical Character Recognition (OCR) extraction using enterprise-grade document intelligence technology
  • AI-powered data normalization using advanced AI language models
  • Custom template creation and management for structured data extraction
  • Document processing for invoices, receipts, forms, contracts, identity documents, and other file types
  • Data export capabilities in JSON and CSV formats
  • API access for programmatic integration (available on paid plans)
  • Usage tracking, audit trails, and document history

The Service is provided on a subscription basis with tiered access levels: Free, Pro, and Enterprise.

3. User Accounts and Registration

3.1 Account Creation

To use the Service, you must create an account by providing accurate, current, and complete information. You may register using email/password authentication or through third-party OAuth providers (LinkedIn). You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Eligibility

You must be at least 18 years old or the age of majority in your jurisdiction to create an account. By creating an account, you represent and warrant that you meet these requirements.

3.3 Account Responsibility

You are responsible for all activity that occurs under your account. You agree to:

  • Notify us immediately of any unauthorized use of your account
  • Ensure your account information remains accurate and up-to-date
  • Not share your account credentials with others
  • Not create multiple accounts to circumvent usage limitations

3.4 Business Accounts

If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

4. Subscription Plans and Billing

4.1 Subscription Tiers

We offer the following subscription tiers:

  • Free Plan: Limited document processing with basic features
  • Pro Plan ($49/month): Increased quotas, API access, priority support, 14-day free trial
  • Enterprise Plan ($399/month): Maximum quotas, custom branding, dedicated support, advanced features

Current pricing, features, and quota limits are available on our pricing page and may be updated with reasonable notice.

4.2 Billing and Payment

Paid subscriptions are billed monthly in advance. Payment processing is handled securely through Stripe, Inc. By providing payment information, you authorize us to charge your payment method for all fees incurred.

4.3 Free Trial

Pro Plan subscriptions include a 14-day free trial. Your payment method will be charged automatically at the end of the trial period unless you cancel before the trial ends. Trial availability is at our discretion and may be limited to one per user.

4.4 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless canceled. You will be charged the then-current subscription fee. We will provide reasonable notice of any price changes.

4.5 Cancellation and Refunds

You may cancel your subscription at any time through the billing management portal. Cancellations take effect at the end of the current billing period. No refunds are provided for partial billing periods, except as required by law or at our sole discretion.

4.6 Payment Failures

If payment fails, we will attempt to collect payment using your payment method on file. Your account may be suspended or downgraded if payment cannot be collected within a reasonable timeframe.

4.7 Taxes

All fees are exclusive of applicable federal, state, local, or foreign taxes, levies, or duties. You are responsible for payment of all such taxes except those based on our net income.

5. Usage Quotas and Limitations

5.1 Service Quotas

Each subscription tier includes specific usage quotas for:

  • Document Processing: Daily and monthly limits on document uploads for OCR processing and extraction
  • AI-Powered Data Processing: Monthly limits on intelligent data normalization and structuring operations
  • Templates: Number of custom templates you can create and maintain
  • API Requests: Rate limits and request volumes for API access (Pro and Enterprise plans)

5.2 Quota Enforcement

When you reach your quota limits, you will be unable to perform additional operations until your quota resets (daily/monthly) or you upgrade your plan. We reserve the right to enforce quotas and may suspend service for quota abuse.

5.3 Fair Use Policy

You agree to use the Service in a reasonable manner consistent with its intended purpose. Excessive use, automated scraping, or attempts to circumvent usage limitations may result in account suspension or termination.

6. Acceptable Use Policy

6.1 Prohibited Content

You agree not to upload, process, or transmit through the Service any content that:

  • Violates any applicable law or regulation
  • Infringes intellectual property rights of others
  • Contains malware, viruses, or malicious code
  • Contains personally identifiable information without proper authorization
  • Is defamatory, obscene, pornographic, or offensive
  • Promotes illegal activities, violence, or discrimination

6.2 Prohibited Activities

You agree not to:

  • Attempt to gain unauthorized access to the Service or its related systems
  • Interfere with or disrupt the Service or servers/networks connected to the Service
  • Use the Service to transmit spam or unsolicited communications
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Remove or obscure any proprietary notices from the Service
  • Use the Service to compete with us or develop competing products
  • Share API keys or attempt to resell the Service

6.3 Compliance with Laws

You agree to comply with all applicable federal, state, local, and international laws and regulations in your use of the Service, including but not limited to data protection laws (GDPR, CCPA), export control laws, and anti-money laundering regulations.

7. Data Processing and Privacy

7.1 Data Processing Agreement

Our processing of your data is governed by our Privacy Policy, incorporated herein by reference. By using the Service, you consent to such processing and warrant that all data provided is accurate and lawfully obtained.

7.2 Your Data

You retain all ownership rights to documents and data you upload to the Service ("Your Data"). You grant us a limited, worldwide, non-exclusive license to use, process, and store Your Data solely for the purpose of providing the Service.

7.3 Third-Party Processing

The Service utilizes third-party services for core functionality:

  • Enterprise OCR Provider: Document intelligence, OCR extraction, and analysis
  • AI Language Model Provider: Intelligent data normalization and structuring
  • Cloud Database Provider: Secure data storage and management
  • Stripe: Payment processing and subscription management

These third-party services have their own privacy policies and terms. We contractually require these providers to maintain appropriate security and confidentiality standards, including SOC 2 compliance and enterprise-grade data protection.

7.4 Data Security

We implement industry-standard security measures to protect Your Data, including encryption in transit (TLS/SSL) and at rest, access controls, and regular security audits. However, no method of transmission or storage is 100% secure, and we cannot guarantee absolute security.

7.5 Data Retention

We retain Your Data for as long as your account is active or as needed to provide the Service. Upon account deletion, we will delete or anonymize Your Data within 90 days, except as required by law or for legitimate business purposes.

7.6 GDPR Compliance

For users in the European Economic Area (EEA), United Kingdom, or Switzerland, we comply with the General Data Protection Regulation (GDPR). You have rights to access, rectify, delete, restrict processing, object to processing, and data portability. Contact us at privacy@quixyl.com to exercise these rights.

7.7 CCPA Compliance

For California residents, we comply with the California Consumer Privacy Act (CCPA). You have rights to know what personal information we collect, delete personal information, and opt-out of sale (note: we do not sell personal information).

7A. PII Redaction Services

New Feature

7A.1 Service Description

The PII (Personally Identifiable Information) Redaction feature uses AI-powered detection to automatically identify and redact sensitive personal information from your extracted documents. This feature is available to Pro and Enterprise plan subscribers.

PII categories detected include:

  • Social Security Numbers (SSN)
  • Email addresses
  • Phone numbers
  • Credit card numbers
  • Bank account numbers
  • Driver's license numbers
  • Passport numbers
  • Medical record numbers
  • Tax identification numbers (TIN/EIN)
  • IP addresses
  • MAC addresses
  • Full names
  • Physical addresses

7A.2 Redaction Modes

You can configure PII redaction per template using one of four modes:

  • Mask: Replace PII with asterisks (e.g., "john@email.com" → "*************")
  • Remove: Set PII fields to null (recommended for GDPR data minimization)
  • Hash: Replace PII with one-way SHA-256 hash (maintains uniqueness for matching)
  • Partial: Show first and last character, mask middle (e.g., "j***m@email.com")

7A.3 User Responsibility and Configuration

PII redaction is opt-in and template-specific. You must explicitly enable PII redaction for each extraction template and select which PII categories to redact. It is your responsibility to:

  • Configure appropriate redaction settings for your compliance requirements
  • Review extracted data to ensure sensitive information is properly redacted
  • Maintain proper authorization to process PII in uploaded documents
  • Comply with applicable data protection laws (HIPAA, GDPR, CCPA, etc.) in your use of this feature

7A.4 Detection Accuracy and Limitations

Our PII detection system achieves 90%+ accuracy using advanced AI models and pattern matching. However, we do not guarantee 100% detection of all PII. Limitations include:

  • False Positives: Some non-PII data may be incorrectly flagged and redacted
  • False Negatives: Some PII may not be detected, especially unusual formats or non-standard representations
  • Context-Dependent PII: Names and addresses may be missed if not in recognizable formats
  • OCR Errors: Poorly scanned documents or low-quality images may reduce detection accuracy
  • Language Support: Supports 123 languages including English, Spanish, French, German, Chinese (Simplified/Traditional), Japanese, Korean, Arabic, Hindi, Russian, Portuguese, Italian, Dutch, and more. Handwriting recognition available for 8+ languages including English, Chinese, French, German, Italian, Portuguese, and Spanish

You acknowledge and accept these limitations and agree to implement additional safeguards as needed for your specific compliance requirements.

7A.5 Audit Trail and Compliance Logging

When PII redaction is enabled, the Service maintains a detailed audit trail including:

  • Timestamp of extraction and redaction
  • User who performed the operation
  • Number and types of PII fields detected and redacted
  • Confidence scores for each detection
  • Redaction mode applied

Audit logs are retained for 90 days (Pro) or 1 year (Enterprise) to support compliance reporting requirements.

7A.6 Compliance Support

The PII Redaction feature is designed to support compliance with:

  • HIPAA (Health Insurance Portability and Accountability Act): Redacting Protected Health Information (PHI) from medical documents
  • GDPR (General Data Protection Regulation): Data minimization and right to erasure principles
  • SOC 2: Security controls for processing sensitive customer data
  • CCPA (California Consumer Privacy Act): Protecting California resident personal information
  • PCI DSS (Payment Card Industry Data Security Standard): Masking credit card numbers

However, use of this feature alone does not guarantee compliance with these regulations. You remain responsible for ensuring your overall data processing practices meet applicable legal requirements.

7A.7 No Liability for Detection Failures

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR ANY DAMAGES ARISING FROM:

  • Failure to detect PII in your documents (false negatives)
  • Incorrect redaction of non-PII data (false positives)
  • Compliance violations resulting from undetected PII
  • Data breaches or unauthorized access to documents containing PII that was not detected by the Service
  • Regulatory fines, penalties, or legal actions related to PII handling

This feature is provided as a "best effort" compliance tool, not a guarantee of complete PII removal. You must implement appropriate organizational and technical safeguards beyond this Service to ensure full compliance with applicable data protection laws.

7A.8 Modification of PII Categories

We reserve the right to add, modify, or remove PII detection categories at any time to improve service quality or comply with legal requirements. We will provide reasonable notice of material changes that may affect your redaction configurations.

8. Intellectual Property Rights

8.1 Service Ownership

The Service, including all software, text, graphics, user interfaces, trademarks, logos, and other content (collectively, "Service Content"), is owned by us or our licensors and is protected by copyright, trademark, patent, and other intellectual property laws.

8.2 License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business or personal purposes.

8.3 Your Data Ownership

You retain all ownership rights to Your Data. We do not claim ownership of Your Data or any intellectual property rights therein. You are responsible for ensuring you have necessary rights to upload and process Your Data through the Service.

8.4 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback without any obligation or compensation to you.

9. API Terms and Conditions

9.1 API Access

API access is available to Pro and Enterprise plan subscribers. You will receive API credentials (API keys) to authenticate your requests. You are responsible for maintaining the confidentiality of your API keys.

9.2 API Usage Restrictions

You agree to:

  • Comply with rate limits and usage quotas associated with your subscription tier
  • Not exceed allocated API request volumes
  • Not share or expose API keys publicly
  • Implement proper error handling and retry logic
  • Monitor your API usage and stay within plan limits

9.3 API Changes

We may modify, update, or discontinue API endpoints with reasonable notice. We will maintain backward compatibility when feasible but cannot guarantee uninterrupted API availability.

9.4 API Restrictions

You may not use the API to:

  • Build a competing product or service
  • Resell or redistribute API access to third parties
  • Attempt to reverse engineer the Service
  • Circumvent rate limits or usage restrictions

10. Warranties and Disclaimers

10.1 Service Availability

We strive to maintain high availability but do not guarantee uninterrupted or error-free service. The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind.

10.2 Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • ACCURACY, COMPLETENESS, OR RELIABILITY OF EXTRACTED DATA
  • SECURITY OR FREEDOM FROM VIRUSES OR OTHER HARMFUL COMPONENTS
  • UNINTERRUPTED, TIMELY, OR ERROR-FREE SERVICE

10.3 AI Limitations

AI-powered normalization is provided as a convenience tool. Results may not be 100% accurate and should be reviewed before use in critical applications. We are not responsible for errors, omissions, or inaccuracies in AI-generated outputs.

10.4 Third-Party Services

The Service relies on third-party API providers for OCR processing, AI data normalization, and database storage. We are not responsible for downtime, errors, or limitations of these third-party services. Availability and functionality may be affected by third-party service changes.

11. Limitation of Liability

11.1 General Limitation

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL DOCUMENT EXTRACTOR INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
  • DAMAGES RESULTING FROM UNAUTHORIZED ACCESS OR ALTERATION OF YOUR DATA
  • DAMAGES RESULTING FROM THIRD-PARTY CONDUCT OR CONTENT
  • DAMAGES ARISING FROM SERVICE INTERRUPTIONS OR TERMINATION

11.2 Cap on Liability

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) $100, OR (B) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11.3 Exceptions

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages. In such jurisdictions, our liability is limited to the extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Quixyl, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any rights of another person or entity
  • Your Data or content uploaded to the Service
  • Your violation of applicable laws or regulations

13. Termination

13.1 Termination by You

You may terminate your account at any time by canceling your subscription through the billing management portal or contacting support. Termination is effective at the end of your current billing period.

13.2 Termination by Us

We reserve the right to suspend or terminate your account immediately without notice if:

  • You violate these Terms
  • Your account is involved in fraudulent or illegal activity
  • Payment cannot be collected
  • We discontinue the Service entirely
  • Required by law or legal process

13.3 Effect of Termination

Upon termination:

  • Your right to use the Service immediately ceases
  • We will delete or anonymize Your Data within 90 days
  • You remain liable for all fees incurred before termination
  • Sections that by their nature should survive (e.g., liability limitations, indemnification) remain in effect

14. Dispute Resolution and Governing Law

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

14.2 Dispute Resolution

For disputes arising from these Terms, you agree to first attempt to resolve the dispute informally by contacting us at legal@quixyl.com. We will attempt to resolve the dispute through good faith negotiations within 30 days.

14.3 Arbitration

If informal resolution fails, disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall take place in Wilmington, Delaware.

14.4 Class Action Waiver

YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS OR CLASS-WIDE ARBITRATION.

14.5 Exceptions to Arbitration

Either party may seek injunctive relief in court for intellectual property infringement or unauthorized access to the Service.

14.6 International Users

For users outside the United States, you acknowledge that the Service is operated from the United States and agree that your data may be transferred to and processed in the United States.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

  • Posting the updated Terms on the Service with a revised "Last Updated" date
  • Sending an email notification to your registered email address
  • Displaying a prominent notice on the Service

Continued use of the Service after changes constitutes acceptance of the modified Terms. If you disagree with the changes, you must stop using the Service and cancel your account.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements.

16.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision in these Terms does not constitute a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

16.5 Force Majeure

We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including natural disasters, war, terrorism, riots, strikes, or failures of third-party services.

16.6 Export Control

The Service may be subject to U.S. export control laws. You agree to comply with all applicable export and import laws and regulations.
